Scope and content

This series consists of records related to the Civil Corporation of the Scarboro Foreign Mission Society. By means of the Civil Corporation, the Society is able to enter into legal contracts, to acquire assets, and to assume liabilities.

The series is divided into 4 subseries:

System of arrangement

Series was as a discrete fonds upon receipt at USMC, it was made into a series of the main Scarboro fonds to keep materials together, however it remains a separate series to reflect its previous status. Arrangement at file level not altered from received arrangement.

      A 1970 'Notes on the Civil Corporation' declares: "The internal government of the Society is the responsibility of the members and of those whom the members provide to govern it. This is provided by the Constitutions, or in this period of transition, by the legislation of the IV General Chapter for the Society as a whole and legislation of individual Scarboro Communities for the Community.

      For its relations with the Public, especially with civil authorities, another added form of government, a form which conforms to the pattern established by the civil government for organizations which wish to be recognized as such by the government, is required. This is called incorporation.

      The Society applied for incorporation and was constituted a body corporate in the Province of Ontario in 1919. It was incorporated under the name 'China Mission College'. The name was changed in 1924 to 'St. Francis Xavier China Mission Seminary,' and changed again in 1940 to 'Scarboro Foreign Mission Society.'

      By this incorporation the Society is recognized as a civil entity, a company, under the Ontario Companies Act, with all the rights and obligations which are stated in this Act, as long as they apply. Its relations with the public is determined by the By-Laws proposed by the corporation and approved by the Provincial Secretary. These By-Laws may be amended, if it is useful or necessary, at general meetings of the members of the corporation, providing the amendments do not violate essential regulations of the Ontario Companies Act."

      The Bishops of Ontario, in addition to the General Council of the Society, were members of the Board.
